Potomac Electric Power Company`s (NYSE: POM) Board of Directors today set Friday,

July 6, 2001 for its joint Annual Meeting of Common Shareholders and Special Meeting of Preferred Shareholders to vote on Pepco`s proposed merger with Conectiv and other matters.

It will be at 10 a.m. (EDT) at the Four Seasons Hotel, Corcoran Ballroom, 2800 Pennsylvania Ave., N.W., Washington, D.C.

The annual meeting had been scheduled for April 24 in Bethesda, Md., but was postponed when the company announced on Feb. 12 the proposed merger with Conectiv.
